Welcome to Jiyo. Please read on to learn the rules and restrictions that govern your use of our website(s), products, services and applications (the “Services”). These Terms of Use (the “Terms”) are a binding contract between you and BodyMindMe, Inc. (“Jiyo,” “we” and “us”). You must agree to and accept all of the Terms, or you don’t have the right to use the Services. Your using the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy and Copyright Dispute Policy.

Will these Terms ever change?

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the website at http://jiyo.com/, by sending you an email, and/or by some other means.

If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

The Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) defines policies, procedures and guidelines for maintaining the privacy and security of individually identifiable health information held or transmitted by a covered entity or its business associate (such information, “Protected Health Information” or “PHI” ). The purpose of our Services is to promote broad understanding and knowledge of physical and spiritual wellness and healthy lifestyle, and is not intended to be a substitute for professional medical advice, diagnosis or treatment and does not constitute medical or other professional advice. We do not collect or solicit PHI and we are not a covered entity or business associate under HIPPA.

The Children’s Online Privacy Protection Act (“COPPA”) requires that online service providers obtain parental consent before they knowingly collect personally identifiable information online from children who are under 13. We do not knowingly collect or solicit personally identifiable information from children under 13; if you are a child under 13, please do not attempt to register for the Services or send any personal information about yourself to us. If we learn we have collected personal information from a child under 13, we will delete that information as quickly as possible. What are the basics of using Jiyo?

Jiyo applications are available on Apple App Store and Google Play. You may be required to sign up for an account, and select a password and user name (“Jiyo User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Jiyo User ID a name that you don’t have the right to use, or another person’s name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.

You represent and warrant that you are an individual of legal age (Min 18 years) to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission to use the Services and gotten your parent or guardian to agree to these Terms on your behalf).

Unless otherwise explicitly allowed by Jiyo, you will only use the Services for your own personal and non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If your use of the Services is prohibited by applicable laws, then you aren’t authorized to use the Services. We can’t and won’t be responsible for your using the Services in a way that breaks the law.

You will not share your account or password with anyone, and you must protect the security of your account and your password. You’re responsible for any activity associated with your account.

Your use of the Services is subject to the following additional restrictions:

You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Services or interact with the Services in a manner that:

  1. Infringes or violates the intellectual property rights or any other rights of anyone else (including Jiyo);

  2. Violates any law or regulation, including any applicable export control laws;

  3. Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;

  4. Jeopardizes the security of your Jiyo account or anyone else’s (such as allowing someone else to log in to the Services as you);

  5. Attempts, in any manner, to obtain the password, account, or other security information from any other user;

  6. Violates the security of any computer network, or cracks any passwords or security encryption codes;

  7. Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);

  8. “Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);

  9. Copies or stores any significant portion of the Content;

  10. Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services;

  11. Upload, transmit, distribute, store, create, or otherwise sell or offer for sale any Prohibited Items

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

What are my rights in Jiyo?

The materials displayed or performed or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, User Submissions, and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates someone else’s (including Jiyo’s) rights.

You understand that Jiyo owns the Services. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Services.

The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn’t mean that all the restrictions above don’t apply – they do!

Do I have to grant any licenses to Jiyo or to other users?

Anything you post, upload, share, store, or otherwise provide through the Services is your “User Submission.” Some User Submissions are viewable by other users. In order to display your User Submissions on the Services, and to allow other users to enjoy them (where applicable), you grant us certain rights in those User Submissions. Please note that all of the following licenses are subject to our Privacy Policy to the extent they relate to User Submissions that are also your personally-identifiable information.

For all User Submissions, you hereby grant Jiyo a license to translate, modify (for technical purposes, for example making sure your content is viewable on an iPhone as well as a computer) and reproduce and otherwise act with respect to such User Submissions, in each case to enable us to operate the Services, as described in more detail below. This is a license only – your ownership in User Submissions is not affected.

If you store a User Submission in your own personal Jiyo account, in a manner that is not viewable by any other user except you (a “Personal User Submission”), you grant Jiyo the license above, as well as a license to display, perform, and distribute your Personal User Submission for the sole purpose of making that Personal User Submission accessible to you and providing the Services necessary to do so.

If you share a User Submission only in a manner that only certain specified users can view (for example, a private message to one or more other users)(a “Limited Audience User Submission”), then you grant Jiyo the licenses above, as well as a license to display, perform, and distribute your Limited Audience User Submission for the sole purpose of making that Limited Audience User Submission accessible to such other specified users, and providing the Services necessary to do so. Also, you grant such other specified users a license to access that Limited Audience User Submission, and to use and exercise all rights in it, as permitted by the functionality of the Services.

If you share a User Submission publicly on the Services and/or in a manner that more than just you or certain specified users can view, or if you provide us (in a direct email or otherwise) with any feedback, suggestions, improvements, enhancements, and/or feature requests relating to the Services (each of the foregoing, a “Public User Submission”), then you grant Jiyo the licenses above, as well as a license to display, perform, and distribute your Public User Submission for the purpose of making that Public User Submission accessible to all Jiyo users and providing the Services necessary to do so, as well as all other rights necessary to use and exercise all rights in that Public User Submission in connection with the Services and/or otherwise in connection with Jiyo’s business. Also, you grant all other users of the Services a license to access that Public User Submission, and to use and exercise all rights in it, as permitted by the functionality of the Services.

You agree that the licenses you grant are royalty-free, perpetual, sublicenseable, irrevocable, and worldwide, provided that when you delete your Jiyo account, we will stop displaying your User Submissions (other than Public User Submissions, which may remain fully available) to other users (if applicable), but you understand and agree that it may not be possible to completely delete that content from Jiyo’s records, and that your User Submissions may remain viewable elsewhere to the extent that they were copied or stored by other users.

Finally, you understand and agree that Jiyo, in performing the required technical steps to provide the Services to our users (including you), may need to make changes to your User Submissions to conform and adapt those User Submissions to the technical requirements of connection networks, devices, services, or media, and the foregoing licenses include the rights to do so.

What if I see something on the Services that infringes my copyright?

You may have heard of the Digital Millennium Copyright Act (the “DMCA”), as it relates to online service providers, like Jiyo, being asked to remove material that allegedly violates someone’s copyright. Who is responsible for what I see and do on the Services?

Any information or content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk, and we aren’t liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services. We can’t guarantee the identity of any users with whom you interact in using the Services and are not responsible for which users gain access to the Services.

You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. You will keep all your registration information accurate and current. You are responsible for all your activity in connection with the Services.

The Services may contain links or connections to third party websites or services that are not owned or controlled by Jiyo. When you access third party websites or use third party services, you accept that there are risks in doing so, and that Jiyo is not responsible for such risks. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third party website or service that you visit or utilize.

For some of Jiyo Services, Jiyo only acts as a marketplace for users to interact with other users to buy and sell items or to schedule services listed by users on the Services, is not involved in any transactions between providers and procurers who use the Service, and does not act as a provider or a procurer (or agent for providers or procurers) with respect to any such transactions. In certain situations, businesses or third parties we’re affiliated with may sell or provide products or services to you through or in connection with the Services, either alone or jointly with us, either under their brand or branded/co-branded with Jiyo’s mark. We’ll try to identify such transaction or service so that you can recognize when an affiliated business is associated with a transaction or service.

Jiyo has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Jiyo will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.

Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. We have established an item commenting system to help you evaluate the user with whom you are dealing. We also encourage you to communicate directly with potential providers or procurers through the features available through the Service. Please use caution, common sense, and practice safe trading when dealing with other users or otherwise using the Services. Again, we cannot evaluate, do not endorse, and are not responsible for, the comments. You agree that Jiyo shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. In particular, and without limiting the foregoing, you agree that Jiyo does not facilitate (and bears no responsibility or liability for) any transaction (or payment or refund therefore) arranged through Jiyo Marketplace (except for Jiyo-branded products).

If there is a dispute between participants on this site, or between users and any third party, you agree that Jiyo is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Jiyo, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which, if known by him or her must have materially affected his or her settlement with the debtor."

Will Jiyo ever change the Services?

We’re always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical. Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms), in our sole discretion, and without notice.

Does Jiyo cost anything?

It is currently free to access and browse our website or other Services. However, you may choose to purchase products or services through the Services, and you alone will be responsible for paying the purchase price of any products or services you procure, in addition to any taxes, shipping, and currency exchange costs. All payment shall be made in U.S. dollars. For products/services provided by Jiyo, Jiyo may limit or cancel products/services procured, and it reserves the right to refuse any order. In the event Jiyo needs to make a change to an order, it will attempt to notify you by contacting the email address, billing address, and/or phone number provided at the time the order was made. For products/services provided by third party vendors or service providers, please refer to their respective ordering/cancellation/refund policies made available by such third party vendors or service providers. You are encouraged to review their policies and the terms and conditions before making any purchase, and you acknowledge and agree that Jiyo is not involved in such transaction between you and such third party vendors or service providers. Prices are subject to change at any time. Due to separate and applicable tax jurisdictions, your purchases may be subject to specific sales, custom or value-added taxes, and the shipping time and associated cost may increase accordingly.

Certain of our Services may be subject to payments now or in the future (the “Paid Services”). Please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms. Paid Services can be in the form of a one-time payment, fix fees, hourly rate, recurring subscription charges, or otherwise. You agree to make the payment in accordance with the payment terms presented to you in the process of procuring a Paid Service.

If you choose to enroll in any subscription-based Paid Services, you will be charged a recurring subscription fee. The subscription fee for these Paid Services will be charged to you in advance, to the credit card or third party payment methods (e.g. PayPal, Apple Wallet, Google Pay) you provided upon enrollment in the Paid Services. You must provide and promptly update all your payment information to keep it current, complete and accurate. If you fail to provide any of the foregoing information, you agree that we may continue charging you for any use of Paid Services unless you have terminated your Paid Services as set forth below. Unless you opt out of auto-renewal, which can be done through your Account Settings ( within your Jiyo Mobile application, under settings), any subscription-based Paid Services you have signed up for will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected. To change or resign your Paid Services at any time, go to the Apple support for Ios and Google support for Google store to discontinue.If you terminate a subscription-based Paid Service, you may use your subscription until the end of your then-current term; your subscription will not be renewed after your then-current term expires. However, you won't be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.

We currently use a third-party payment processor (the “Payment Processor”) to bill you for use of the Paid Services. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processor in addition to this Agreement. We are not responsible for error by the Payment Processor.

In addition to the fees charged for the purchase of products, Jiyo reserves the right to require payment of fees for certain or all Services. You shall pay all such fees, as described on the website in connection with such Services selected by you. Jiyo may change the price list or institute new charges at any time upon notice to you, which may be sent by email or posted on our websites. For subscription services, if you do not wish to pay the new price, your only remedy shall be to cancel your enrollment in such subscription for the following term, prior to the expiration of your then-current term. Your use of the Services following such notification constitutes your acceptance of any new or increased charges.

What if I need to return a purchase?

We want you to be completely satisfied with your purchase on the Services. If for any reason you are unhappy, please contact Jiyo support at writetous@jiyo.com.

For any transaction with third parties not affiliated with Jiyo, such transactions are entirely between you and the merchant, as other user of Jiyo Services. So please contact the applicable third party merchant directly for any refund or return issues.

For any transaction with Jiyo affiliated business, you may return all products within 30 days of delivery. You can initiate a return or a refund on items from your Order History page and follow the instructions there. Refunds are issued back to the original form of payment used to purchase the order. Should you have any questions about the status of your refund, your return or your account, please feel free to contact Jiyo support at writetous@jiyo.com. Jiyo cannot refund, reimburse, cover, or otherwise be responsible for any fees not paid to Jiyo. This includes, but not limited to, any customs taxes or VAT as well as any return shipping costs you may incur in the refund process.

What should I know about the use of Jiyo Consult?

Jiyo Consult is a platform that allows users to schedule one-to-one consultation sessions via chat, audio or video with consultants listed on the Jiyo Consult website. You acknowledge and agree that consultants act in their own capacity and are not affiliated with Jiyo in any way. Jiyo is not involved in any consultations between you and consultants you choose from Jiyo Consult, and does not control, provide, assist, endorse, or monitor such consultations. You acknowledge and agree that Jiyo assumes no responsibility for the content, accuracy, privacy policies, or practices of or opinions expressed in such consultations that you procured through Jiyo Consult. By using the Jiyo Consult Services, you release and hold Jiyo harmless from any and all liability arising from your procurement and use of such consultations.

It is currently free to chat with consultants you find through Jiyo Consult. However if you want to schedule a video/ audio consultation with a consultant, you will pay an upfront fee as decided by the consultant to the consultant (or Jiyo if applicable) in accordance with the terms and conditions applicable to such consultation sessions. If not otherwise agreed by you and the consultant, a session will be 15 minutes, and if the connection is lost during that 15-minute session, you can re-initiate the connection without additional cost.

Please note that chat history, audio, video, or shared files may be stored by the consultant or/and Jiyo. To the extent such materials contain your personal information, Jiyo will only use such personal information subject to its Privacy Policy.

Consultant has the right to cancel a scheduled appointment, in which case any prepaid fees (including convenience fee charged by PayPal) for the cancelled sessions will be refunded to you. If the session fails to initiate due to unavailability of the consultant for no cause and without prior notification or technical failures due to the functions of the Jiyo Consult platform, any prepaid fees for the cancelled sessions will be refunded to you. If you cancel or do not initiate the connection for a scheduled appointment, we will refund you any prepaid fees, minus the convenience fee charged by PayPal, for such cancelled sessions.

What if I want to stop using Jiyo?

You’re free to do that at any time, by contacting us at writetous@jiyo.com; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services.

Jiyo is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms. Jiyo has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.

Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Jiyo.

If you have deleted your account by mistake, contact us immediately at writetous@jiyo.com – we will try to help, but unfortunately, we can’t promise that we can recover or restore anything.

Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

I use the Jiyo App available via the Apple App Store – should I know anything about that?

These Terms apply to your use of all the Services, including the applications available via the Apple, Inc. (“Apple”) App Store (including, without limitation, for iPhone, iPad, iTouch, and iWatch , each an “Application”), but the following additional terms also apply to each Application:

  1. Both you and Jiyo acknowledge that the Terms are concluded between you and Jiyo only, and not with Apple, and that Apple is not responsible for the Application or the Content;

  2. The Application is licensed to you on a limited, non-exclusive, non-transferrable, non-sublicensable basis, solely to be used in connection with the Services for your private, personal, non-commercial use, subject to all the terms and conditions of these Terms as they are applicable to the Services;

  3. You will only use the Application in connection with an Apple device that you own or control;

  4. You acknowledge and agree that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application;

  5. In the event of any failure of the Application to conform to any applicable warranty, including those implied by law, you may notify Apple of such failure; upon notification, Apple’s sole warranty obligation to you will be to refund to you the purchase price, if any, of the Application;

  6. You acknowledge and agree that Jiyo, and not Apple, is responsible for addressing any claims you or any third party may have in relation to the Application;

  7. You acknowledge and agree that, in the event of any third party claim that the Application or your possession and use of the Application infringes that third party’s intellectual property rights, Jiyo, and not Apple, will be responsible for the investigation, defense, settlement and discharge of any such infringement claim;

  8. You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties;

  9. Both you and Jiyo acknowledge and agree that, in your use of the Application, you will comply with any applicable third party terms of agreement which may affect or be affected by such use; and

  10. Both you and Jiyo acknowledge and agree that Apple and Apple’s subsidiaries are third party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as the third party beneficiary hereof.

SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL JIYO (OR ITS LICENSORS OR SUPPLIERS) BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, OR (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF (I) $100 OR (II) THE AMOUNTS PAID BY YOU TO JIYO IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THIS APPLICABLE CLAIM, OR (III) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

Indemnity. To the fullest extent allowed by applicable law, you agree to indemnify and hold Jiyo, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Assignment. You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Jiyo’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Miscellaneous. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that the Jiyo may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Jiyo agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Jiyo, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Jiyo, and you do not have any authority of any kind to bind Jiyo in any respect whatsoever. Except as expressly set forth in the section above regarding the Apple Application, you and Jiyo agree there are no third party beneficiaries intended under these Terms.

Choice of Law; Arbitration. These Terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof.

Please read this carefully. It affects your rights. YOU AND JIYO AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF, OR RELATING TO YOUR USE OF JIYO, TO ANY PRODUCTS OR SERVICES SOLD OR DISTRIBUTED BY OR THROUGH JIYO, TO THIS AGREEMENT, OR TO THE CONTENT, AND/OR USER SUBMISSION ON JIYO SHALL BE RESOLVED ONLY BY FINAL AND BINDING, BILATERAL ARBITRATION, except that (1) you may assert claims in small claims court if your claims qualify; and (2) this agreement to arbitrate does not include your or Jiyo’s right to seek injunctive or other equitable relief in state or federal court in San Francisco to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. The Federal Arbitration Act, 9 U.S.C. § 1, et seq., and federal arbitration law apply to this agreement and govern all questions as to whether a dispute is subject to arbitration.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in San Francisco County, California, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, respectively, San Francisco County, California, or the Northern District of California.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class or representative action. Further, unless both you and Jiyo expressly agree otherwise, the arbitrator may not consolidate more than one person’s claims. If this prohibition of class, representative, or consolidated arbitration is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

If, for any reason, a claim proceeds in court rather than in arbitration, we each waive our right to a jury trial.

YOU THEREFORE UNDERSTAND AND AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND JIYO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION FOR ANY CLAIMS COVERED BY THIS AGREEMENT.

These Terms of Use (the “Terms”) are a binding contract between you and BodyMindMe, Inc. (“Jiyo,” “we” and “us”). You must agree to and accept all of the Terms, or you don’t have the right to use the Services. Your using the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document, as well as those in the Privacy Policy.

Will these Terms ever change?

We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the website at http://jiyo.com/, by sending you an email, and/or by some other means as we may deem fit.

If you don’t agree with the new Terms, you are free to reject them; unfortunately, that means you will no longer be able to use the Services. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.

The Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”) govern the collection, use, storage, retention, transfer and disclosure of personal information.

Personal information has been defined, under the SPDI Rules, as any information that relates to a natural person, which, either directly or indirectly, in combination with other information available or likely to be available with a body corporate, is capable of identifying such person.

Sensitive Personal Data or Information (“SPDI”) as defined under the SPDI Rules includes (i) passwords; (ii) financial information (such as bank account, credit/debit card or other payment instrument details); (iii) physical, physiological and mental health condition; (iv) sexual orientation; (v) medical records and history; and (vi) biometric information; and (vii) or any detail pertaining to the above the foregoing provided to body corporates.

You agree that by providing us with any SPDI, you are providing your express consent to our use, collection, transfer and disclosure of your personal information including SPDI in accordance with the Terms. You agree that all personal information including SPDI is provided by you to us voluntarily.

You may choose to not provide us with or withdraw any or all information, but in the event that you do so, we will unfortunately not be able to provide you with our Services.

What are the basics of using Jiyo?

Jiyo applications are available on Apple App Store and Google Play. You may be required to sign up for an account, and select a password and user name (“Jiyo User ID”). You promise to provide us with accurate, complete, and updated registration information about yourself. You may not select as your Jiyo User ID a name that you don’t have the right to use, or another person’s name with the intent to impersonate that person. You may not transfer your account to anyone else without our prior written permission.

In addition to offering our Services to individual users, Jiyo applications and Services are also offered to businesses as an enterprise wide solution. Businesses may register with Jiyo for managing the health and well-being of its employees, understanding health risks most prevalent in the organization and assessing the need for enterprise-wide policy changes. In the event your employer (“Employer”) has availed Our Services, the Employer may require you to register with us. In the event, you create a Jiyo User ID pursuant to the Services being provided by us to Your Employer, You undertake to use our Services in accordance with the Terms and in accordance with your Employer’s policies. Further, by accessing or using the Services, or providing your information to us, you agree to be bound by these Terms. You also agree that your Employer may accept these Terms on your behalf and may collect and submit your information to us and you have consented to such actions of your Employer. We shall not be liable for any unauthorized actions of your Employer vis-à-vis our Services.

Further, if you are an Employer, you agree to avail our Services in accordance with the Terms and to ensure that all your employees using our Services also comply with the Terms.

You represent and warrant that you are an individual of legal age (minimum 18 (eighteen) years) to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission to use the Services and your parent or guardian has agreed to these Terms on your behalf). Your acceptance of these Terms implies that you have the capacity to enter into a legally binding contract as per applicable law, in particular, the Indian Contract Act, 1872.

Our Services are designed to be compliant with the laws of India. If you access our Services from locations outside India, you do so at your own risk and you are solely liable for compliance with applicable local laws.

We reserve the right to restrict access to Jiyo and all of the Services provided therein, if you have been or we have reasonable grounds to believe that you have been convicted of an offence which involves moral turpitude or any offence under the Indian Penal Code, 1860.

Unless otherwise explicitly allowed by Jiyo, you will only use the Services for your own personal and non-commercial use, and not on behalf of or for the benefit of any third party (except your Employer), and only in a manner that complies with all laws that apply to you. If your use of the Services is prohibited by applicable laws, then you aren’t authorized to use the Services. We can’t and won’t be responsible for your using the Services in a way that violates any law.

Subject to the above, and your compliance with these Terms, we grant you a non-exclusive, revocable, limited privilege to access and use the Jiyo platform for personal and non-commercial use.

Our Services are to be used only for their intended purpose, and are not to be misused in any manner, including for undertaking fraudulent transactions, impersonation, etc.

You will not share your account or password with anyone, and you must protect the security of your account and your password. You’re responsible for any activity associated with your account.

You warrant that you are using the Jiyo Platform on your own initiative and that you are responsible for compliance with any and all applicable laws.

Your use of the Services is subject to the following additional restrictions:

You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Services or interact with the Services in a manner that:

  1. Infringes or violates the intellectual property rights or any other rights of anyone else (including Jiyo);

  2. Violates any law or regulation, including any applicable export control laws;

  3. Is harmful, fraudulent, deceptive, disparaging, inaccurate, unfair threatening, harassing, defamatory, obscene, or otherwise objectionable;

  4. Jeopardizes the security of your Jiyo account or anyone else’s (such as allowing someone else to log in to the Services as you);

  5. Attempts, in any manner, to obtain the password, account, or other security information from any other user;

  6. Attempts to or gain unauthorized access to any portion or feature of the Jiyo platform including accounts, or any other systems or networks connected to the Jiyo platform or to any server, computer, network, or to any of the Services by hacking, password “mining” or any other illegitimate means;

  7. Probes, scans or tests the vulnerability of the Jiyo platform or any network connected to the Jiyo platform or Services or Violates the security of any computer network, or cracks any passwords or security encryption codes;

  8. Attempts to circumvent the regular operation of the Jiyo platform, or reduce the fees or consideration that we may derive from the Jiyo platform by any means including by creating multiple accounts, redirecting traffic or following other fraudulent or deceptive practices;

  9. Collects any user information through automated means, including but not limited to bots, robots, spiders and scrapers without our prior written permission;

  10. Facilitates or encourages any violation of these Terms or our other Policies, including the Privacy Policy, as amended from time to time;

  11. Runs Mail list, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);

  12. “Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);

  13. Copies or stores any significant portion of the Content;

  14. Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services; or

  15. Upload, transmit, distribute, store, create, or otherwise sell or offer for sale any Prohibited Items.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

Further, you agree not to upload, host, display, publish, share or otherwise make available on Jiyo any content or information that:

  1. Belongs to another person and to which you do not have any right to;

  2. Contains any content which is non-compliant with the Information Technology Act, 2000, rules, regulations, and guidelines made thereunder, including Rule 3 of The Information Technology (Intermediaries Guidelines) Rules, 2011, Terms or Privacy Policy, as amended or re-enacted from time to time; or

  3. Infringes any intellectual property rights of any third party.

What are my rights in Jiyo?

The materials displayed or performed or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, illustrations, User Submissions, and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any Content you access through the Services, and you won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior written consent of the owner of that Content, or (ii) in a way that violates someone else’s (including Jiyo’s) rights.

You understand that Jiyo owns the Services. You agree that by accessing or using our Services, no right, title or interest in the Services shall be deemed transferred to you. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Services.

The Services may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn’t mean that all the restrictions above don’t apply – they do!

Do I have to grant any licenses to Jiyo or to other users?

Anything you post, upload, share, store, or otherwise provide through the Services is your “User Submission.” Some User Submissions are viewable by other users. In order to display your User Submissions on the Services, and to allow other users to enjoy them (where applicable), you grant us certain rights in those User Submissions. Please note that all of the following licenses are subject to our Privacy Policy to the extent they relate to User Submissions that are also your personally identifiable information.

For all User Submissions, you hereby grant Jiyo a license to translate, modify (for technical purposes, for example making sure your Content is viewable on an iPhone as well as a computer) and reproduce and otherwise act with respect to such User Submissions, in each case to enable us to operate the Services, as described in more detail below or to comply with applicable law. This is a license only – your ownership in User Submissions is not affected.

If you store a User Submission in your own personal Jiyo account, in a manner that is not viewable by any other user except you (a “Personal User Submission”), you grant Jiyo the license above, as well as a license to display, perform, and distribute your Personal User Submission for the sole purpose of making that Personal User Submission accessible to you and providing the Services necessary to do so.

If you share a User Submission only in a manner that only certain specified users can view (for example, a private message to one or more other users) (a “Limited Audience User Submission”), then you grant Jiyo the licenses above, as well as a license to display, perform, and distribute your Limited Audience User Submission for the sole purpose of making that Limited Audience User Submission accessible to such other specified users, and providing the Services necessary to do so. Also, you grant such other specified users a license to access that Limited Audience User Submission, and to use and exercise all rights in it, as permitted by the functionality of the Services.

If you share a User Submission publicly on the Services and/or in a manner that more than just you or certain specified users can view, or if you provide us (in a direct email or otherwise) with any feedback, suggestions, improvements, enhancements, and/or feature requests relating to the Services (each of the foregoing, a “Public User Submission”), then you grant Jiyo the licenses above, as well as a license to display, perform, and distribute your Public User Submission for the purpose of making that Public User Submission accessible to all Jiyo users and providing the Services necessary to do so, as well as all other rights necessary to use and exercise all rights in that Public User Submission in connection with the Services and/or otherwise in connection with Jiyo’s business. Also, you grant all other users of the Services a license to access that Public User Submission, and to use and exercise all rights in it, as permitted by the functionality of the Services.

You agree that the licenses you grant are royalty-free, perpetual, sub-licensable, irrevocable, and worldwide, provided that when you delete your Jiyo account, we will stop displaying your User Submissions (other than Public User Submissions, which may remain fully available) to other users (if applicable), but you understand and agree that it may not be possible to completely delete that Content from Jiyo’s records, and that your User Submissions may remain viewable elsewhere to the extent that they were copied or stored by other users.

Finally, you understand and agree that Jiyo, in performing the required technical steps to provide the Services to our users (including you), may need to make changes to your User Submissions to conform and adapt those User Submissions to the technical requirements of connection networks, devices, services, or media, and the foregoing licenses include the rights to do so.

You further agree and acknowledge that, pursuant to Section 19(4) of the Copyright Act, 1957, the license granted by you to us will not be terminated, in the event we do no exploit the rights licensed to us for a period of 1 (one) year.

What if I see something on the Services that infringes my copyright?

You may request us to remove material that allegedly violates yours or someone’s copyright under the Information Technology Act, 2000 and the rules thereunder, or the Copyright Rules, 2013, as appropriate. We respect others’ intellectual property rights, and we reserve the right to delete or disable Content alleged to be infringing, and to terminate the accounts of repeat alleged infringers.

Who is responsible for what I see and do on the Services?

Any information or Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such Content originated, and you access all such information and Content at your own risk, and we aren’t liable for any errors or omissions in that information or Content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services. We can’t guarantee the identity of any users with whom you interact in using the Services and are not responsible for which users gain access to the Services.

The Content does not, in any way, constitute medical advice, diagnosis or treatment. We encourage you to take decisions regarding treatment, drug intake or diet only after a physical consultation with any registered healthcare professional. We are not responsible for any act or omission committed by you as a result of your interpretation of the Content.

You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it. You will keep all your registration information accurate and current. You are responsible for all your activity in connection with the Services.

The Services may contain links or connections to third party websites or services that are not owned or controlled by Jiyo. When you access third party websites or use third party services, you accept that there are risks in doing so, and that Jiyo is not responsible for such risks. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third party website or service that you visit or utilize.

For some of Jiyo Services, Jiyo only acts as a technology provider for users to interact with other users to buy and sell items or to schedule services listed by users on the Services, is not involved in any transactions between providers and procurers who use the Service, and does not act as a provider or a procurer (or agent for providers or procurers) with respect to any such transactions. In certain situations, businesses or third parties we’re affiliated with may sell or provide products or services to you through or in connection with the Services, either alone or jointly with us, either under their brand or branded/co-branded with Jiyo’s mark. We’ll try to identify such transaction or service so that you can recognize when an affiliated business is associated with a transaction or service. The provision of such product and/or services may be subject to additional terms and conditions which are made available by us from time to time.

Jiyo has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Jiyo will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.

Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. We have established an item commenting system to help you evaluate the user with whom you are dealing. We also encourage you to communicate directly with potential providers or procurers through the features available through the Service. Please use caution, common sense, and practice safe trading when dealing with other users or otherwise using the Services. Again, we cannot evaluate, do not endorse, and are not responsible for, the comments. You agree that Jiyo shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. In particular, and without limiting the foregoing, you agree that Jiyo does not facilitate (and bears no responsibility or liability for) any transaction (or payment or refund therefore) arranged through Jiyo.

If there is a dispute between participants on this site, or between users and any third party, you agree that Jiyo is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Jiyo, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services.

Will Jiyo ever change the Services?

We’re always trying to improve the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We’ll try to give you notice when we make a material change to the Services that would adversely affect you, but this isn’t always practical.

Similarly, we reserve the right to remove any Content from the Services at any time, for any reason (including, but not limited to, if someone alleges you contributed that Content in violation of these Terms or applicable law), in our sole discretion, and without notice.

We also have the right to withdraw our Services at any time without assigning any reason whatsoever.

Will Jiyo always be available?

The Jiyo platform and Services are provided on an “as is” and “as available” basis without any representation or warranty, express or implied. We do not warrant that:

    i. Jiyo and the Services will be constantly available or available at all. We shall have no liability to you for any interruption or delay in access to Jiyo or Services availed through it, irrespective of the cause;

    ii. The information on Jiyo platform or given through the Services is complete, true, accurate or non-misleading;

    iii. That Jiyo platform is secure or free of viruses, Trojans or other malware; or

    iv. The contents of the Jiyo platform do not infringe any intellectual property rights.

We reserve the right to modify Jiyo, our technology and the Services from time to time. This may vary the results that you derive by using the Jiyo platform and/or the Services.

Does Jiyo cost anything?

It is currently free to access and browse our website, mobile application or other Services. However, you may choose to purchase products or services through the Services, and you alone will be responsible for paying the purchase price of any products or services you procure, in addition to any taxes, shipping, and currency exchange costs. For /services provided by Jiyo, Jiyo may limit or cancel services procured, and it reserves the right to refuse any order. In the event Jiyo needs to make a change to an order, it will attempt to notify you by contacting the email address, billing address, and/or phone number provided at the time the order was made. For products/services provided by third party vendors or service providers, please refer to their respective ordering/cancellation/refund policies made available by such third party vendors or service providers. You are encouraged to review their policies and the terms and conditions before making any purchase or utilizing such third party services, and you acknowledge and agree that Jiyo is not involved in such transaction between you and such third party vendors or service providers. Prices are subject to change at any time. Due to separate and applicable tax jurisdictions, your purchases may be subject to specific sales, custom value-added or goods and services taxes, and the shipping time and associated cost may increase accordingly.

Certain of our Services may be subject to payments now or in the future (the “Paid Services”). Please note that any payment terms presented to you in the process of using or signing up for a Paid Service are deemed part of these Terms. Paid Services can be in the form of a one-time payment, fix fees, hourly rate, recurring subscription charges, or otherwise. You agree to make the payment in accordance with the payment terms presented to you in the process of procuring a Paid Service.

If you choose to enroll in any subscription-based Paid Services, you will be charged a recurring subscription fee. The subscription fee for these Paid Services will be charged to you in advance, to the credit card or third party payment methods (e.g. PayPal, Apple Wallet, Google Pay) you provided upon enrollment in the Paid Services. You must provide and promptly update all your payment information to keep it current, complete and accurate. The subscription fees once billed is not refundable irrespective of whether or not you have availed our Paid Services. Your payment due date may change in cases where your payment has not been settled or if your subscription began on a day not present in a given month. We are entitled to deactivate your account and suspend our Paid Services temporarily if the payment is not made on or prior to the due date. We will reactive your account and restore our Paid Services after we receive full payment of the subscription fee. You are encouraged to make all payments on time to avoid service disruption.

You agree that we may continue charging you for any use of Paid Services unless you have terminated your Paid Services at least seven (7) days prior to the date of renewal of your Paid Services and as set forth below. Unless you opt out of auto-renewal, which can be done through your Account Settings (within your Jiyo Mobile application, under settings), any subscription-based Paid Services you have signed up for will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected. To change or resign your Paid Services at any time, go to the Apple support for Ios and Google support for Google store to discontinue. If you terminate a subscription-based Paid Service, you may use your subscription until the end of your then-current term; your subscription will not be renewed after your then-current term expires. However, you won't be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.

We currently use a third-party payment processor (the “Payment Processor”) to bill you for use of the Paid Services. The processing of payments will be subject to the terms, conditions and privacy policies of the Payment Processor in addition to the Terms. We are not responsible for error by the Payment Processor.

In addition to the fees charged for the purchase of products, Jiyo reserves the right to require payment of fees for certain or all Services. You shall pay all such fees, as described on the website in connection with such Services selected by you. Jiyo may change the price list or institute new charges at any time upon notice to you, which may be sent by email or posted on our websites. For subscription services, if you do not wish to pay the new price, your only remedy shall be to cancel your enrollment in such subscription for the following term, prior to the expiration of your then-current term. Your use of the Services following such notification constitutes your acceptance of any new or increased charges.

What if I need to return a purchase?

We want you to be completely satisfied with your purchase on the Services. If for any reason you are unhappy, please contact at customercare@apollolife.com.

For any transaction with third parties not affiliated with Jiyo, such transactions are entirely between you and the merchant. So please contact the applicable third party merchant directly for any refund or return issues.

The products on the Jiyo platform are offered by [Apollo Pharmacy]. Any products purchased by you on the Jiyo platform is a transaction entirely between you and Apollo Pharmacy and is governed by the terms and conditions stipulated by Apollo Pharmacy. If you are not happy with the product you purchased for any reason, you may return the product within three (3) days from the date of receipt of the product and Apollo Pharmacy will exchange the product or refund the consideration paid.

To return any unused product back to Apollo Pharmacy, please contact the customer care at customercare@apollolife.com. Please ensure you enclose your delivery note in the parcel as well, to enable Apollo Pharmacy to process your refund as quickly as possible.

Once we have received your returned product, we will issue a refund to the payment method used to pay for the order. Please allow for seven (7) to ten (10) days for the refund to show on your account.

You can initiate a return or a refund on items from your Order History page and follow the instructions there. Should you have any questions about the status of your refund, your return or your account, please feel free to contact Apollo Pharmacy support at customercare@apollolife.com. Jiyo and/or Apollo Pharmacy cannot refund, reimburse, cover, or otherwise be responsible for any fees not paid to Jiyo and/or Apollo Pharmacy. This includes, but not limited to, any customs taxes, Goods and Services Tax, or VAT as well as any return shipping costs you may incur in the refund process.

What if products are missing from my order or are received in a damaged condition?

What should I know about the use of Jiyo Consult?

Jiyo Consult is a platform that allows users to schedule one-to-one consultation sessions via chat, audio or video with consultants listed on the Jiyo Consult website. You acknowledge and agree that consultants act in their own capacity and are not affiliated with Jiyo in any way. Jiyo is not involved in any consultations between you and consultants you choose from Jiyo Consult, and does not control, provide, assist, endorse, or monitor such consultations. You acknowledge and agree that Jiyo assumes no responsibility for the content, accuracy, privacy policies, or practices of or opinions expressed in such consultations that you procured through Jiyo Consult. By using the Jiyo Consult Services, you release and hold Jiyo harmless from any and all liability arising from your procurement and use of such consultations.

It is currently free to chat with consultants you find through Jiyo Consult. However if you want to schedule a video/ audio consultation with a consultant, you will pay an upfront fee, as decided by the consultant, to the consultant (or Jiyo if applicable) in accordance with the terms and conditions applicable to such consultation sessions. A session may either be for fifteen (15) minutes, thirty (30) minutes, forty five (45) minutes or sixty (60) minutes, as agreed to by you and the consultant. If the connection is lost during that (fifteen) 15 minute session, you can re-initiate the connection at an additional cost.

Please note that chat history, audio, video, or shared files may be stored by the consultant or/and Jiyo. To the extent such materials contain your personal information, Jiyo will only use such personal information subject to its Privacy Policy.

Consultant has the right to cancel a scheduled appointment, in which case any prepaid fees (including convenience fee charged by PayPal) for the cancelled sessions will be refunded to you. If the session fails to initiate due to unavailability of the consultant for no cause and without prior notification or technical failures due to the functions of the Jiyo Consult platform, any prepaid fees for the cancelled sessions will be refunded to you. If you cancel or do not initiate the connection for a scheduled appointment, we will refund you any prepaid fees, minus the convenience fee charged by PayPal or any other payment method utilized by you for the payment, for such cancelled sessions.

Jiyo Consult is designed to support the health decisions and choices that you make. These decisions and choices are yours, and we believe that you, with the advice you receive from your on-site consulting physician, are the best decision maker about your health. What we can do is help you find good health information and connect you with experts for in-person information. Accordingly, Jiyo Consult is not a place for the practice of medicine and our Services do not, constitute a medical opinion. Even if your consultant is a healthcare professional on Jiyo Consult, you agree not to solicit or use any information obtained through Jiyo Consult as if it were personal advice, treatment, or diagnosis.

You may post a general query regarding your symptoms, medical reports, health or dietary information.

The medical information provided through Jiyo Consult is based purely on the information supplied by you, without any independent verification of such information by the consultant. Therefore, please take care to provide accurate information.

While using Jiyo Consult, please note that:

    i. Any information provided through the Jiyo Consult services, is for your information only. You agree to act upon such information fully understanding the limitations and potential risks involved with acting upon such advice rendered on Jiyo Consult, that is, information customized to respond to your query which does not substitute a physical visit to an on-site physician or healthcare organization;

    ii. In order to obtain any drugs, you shall visit your on-site physician or make an appointment with any of the consultants for a prescription. No prescription for drugs will be issued to you without a physical consultation with a registered medical practitioner;

    iii. You shall not misuse any drug related information available on or through Jiyo Consult and shall always act in compliance with law while purchasing drugs;

    iv. You shall not provide inaccurate or misleading information to any consultant or attempt to obtain any medical information or advice for fraudulent purposes or to breach any applicable law or deliberately cause any consultant or Jiyo to breach any applicable law; and

    v. You shall not disregard other medical advice or disregard or delay seeking medical advice from an on-site physician due to any advice rendered by a consultant through Jiyo Consult.

As part of our Jiyo Services, we also enable you to book appointments with any of the consultants listed on Jiyo Consult. We do not guarantee that you will get a confirmed appointment with any consultant on the platform. Further, we are not responsible for any loss or inconvenience suffered by you if the desired consultant cancels the appointment or is unavailable for the appointment, except as provided for in these Terms.

Jiyo Consult is a platform which enables users to interact with consultants. All correspondence and transactions between you and any consultants are strictly bi-partite. We are not and cannot be a party to, or control in any manner, any such correspondence, or transactions between you and any consultant. We shall not and are not required to mediate or resolve any disputes or disagreements between you and any consultant.

Accordingly, we will not be liable for any loss or damage incurred as the result of any such interaction with a consultant. We do not provide any warranty as to the quality, suitability and appropriateness of any advice availed by you through Jiyo Consult or any services, medical procedures, advice or opinion of any consultant pursuant to the booking of an appointment through Jiyo Consult.

We do not endorse any consultant, test, procedure or product and do not intend to be a source of advertising or solicitation on the behalf of any consultant, drug or healthcare service provider.

While we undertake certain verification procedures, qualification and background checks on the consultant listed on Jiyo Consult and endeavour to provide you access to information from medical experts, these procedures are performed on an “as is” and “as available” basis. By opting to avail of the advice or booking an appointment through Jiyo Consult, you acknowledge that we will not be responsible for the quality or accuracy of the results of these procedures.

You acknowledge that we are not responsible for the use of any personal information that you disclose or share with others through the use of the Services. While interacting with any consultant found through either of Jiyo Consult or through the Services, we strongly encourage you to exercise reasonable diligence as you would in traditional offline channels and practice judgment and common sense before acting upon the advice of or committing to any transaction or exchange of information with any consultant.

We may keep audio-visual records of your interaction with the consultant. You authorize us to keep such records and access your User Submissions and written records of interaction with the consultants for our business purposes.

Consultants reserve the right to decline responding to a query posted by you through Jiyo Consult. In some cases, the consultant may determine that the transmitted information is of inadequate quality and may ask for more information, without which he/she may refuse to answer the query. Further, the consultant may feel that the query may not be answerable without physically examining you and may be refuse to answer your query. In all such cases, where the desired consultant is unavailable, inaccessible or declines to respond to a particular query, the fee paid for such query will be refunded to you in accordance with these Terms.

You expressly agree that your use of Jiyo Consult and your reliance upon any of its contents is at your sole risk and we shall not be liable or responsible for any act, omission, deficiency or negligence or other illegalities on the part of the consultants listed on the Jiyo Consult platform.

While we take reasonable efforts to ensure that information on the platform is updated at frequent intervals, you understand that the Jiyo Consult platform and Services are provided on an “as-is” and “as available” basis without any representation or warranty, express or implied. We do not warrant that:

    i. The Jiyo Consult platform or the Services will be constantly available, or available at all. We shall have no liability to you for any interruption or delay in access to any of the Jiyo Consult platform or Services availed through it, irrespective of the cause;

    ii. The information on the Jiyo Consult platform or given through the Jiyo Consult Services is complete, true, accurate or non-misleading;

    iii. Any errors or defects in the Jiyo Consult platform or Services will be corrected;

    iv. The Jiyo Consult platform is secure or free of viruses, Trojans or other malware;

    v. The contents of the Jiyo Consult platform or the Services do not infringe any intellectual property rights;

    vi. Any drugs or course of treatment will be prescribed to you by any consultant; or

    vii. The quality, suitability and appropriateness of consultant will be to your satisfaction or that there will be no deficiency or negligence in Jiyo Consult Services availed by you.

    There is no relationship of principal and agent, master and servant or employer and employee between the consultants and Jiyo.

What if I want to stop using Jiyo?

You’re free to do that at any time, by contacting us at writetous@jiyo.com; please refer to our Privacy Policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Services. However, if you have registered on the behest of your Employer, then your termination of your use of our Services is subject to the policies of your Employer.

Jiyo is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms, termination of the agreement between Jiyo and your Employer, or if we have reasonable grounds to believe that your use conflicts or interferes with our reputation, interest or might subject us to unfavorable legal or regulatory action in any way. Jiyo has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms. We reserve the right to take recourse to all available remedies under applicable law in furtherance of the above including reporting your action(s) to relevant authorities.

Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Jiyo.

If you have deleted your account by mistake, contact us immediately at writetous@jiyo.com – we will try to help, but unfortunately, we can’t promise that we can recover or restore anything.

Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership or intellectual property rights, and terms regarding disputes between us.

Indemnity. To the fullest extent allowed by applicable law, you agree to indemnify and hold Jiyo, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Assignment. You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Jiyo’s prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without notice or consent.

Miscellaneous. You will be responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services, provided that Jiyo may, in its sole discretion, do any of the foregoing on your behalf or for itself as it sees fit. The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that these Terms shall otherwise remain in full force and effect and enforceable. You and Jiyo agree that these Terms are the complete and exclusive statement of the mutual understanding between you and Jiyo, and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms. You hereby acknowledge and agree that you are not an employee, agent, partner, or joint venture of Jiyo, and you do not have any authority of any kind to bind Jiyo in any respect whatsoever. Except as expressly set forth in the section above regarding the Apple Application, you and Jiyo agree there are no third party beneficiaries intended under these Terms.

Choice of Law; Arbitration.

These Terms are governed by and will be construed under the laws of India, without regard to the conflict of laws provisions thereof.

YOU AND JIYO AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF, OR RELATING TO YOUR USE OF JIYO, TO ANY PRODUCTS OR SERVICES SOLD OR DISTRIBUTED BY OR THROUGH JIYO, TO THIS AGREEMENT, OR TO THE CONTENT, AND/OR USER SUBMISSION ON JIYO SHALL BE RESOLVED ONLY BY FINAL AND BINDING, BILATERAL ARBITRATION, except that this agreement to arbitrate does not exclude your or Jiyo’s right to seek injunctive or other equitable relief in any court of competent jurisdiction in India, to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. The arbitration would be conducted in accordance with the Arbitration and Conciliation Act, 1996 (“Act”) by a sole arbitrator appointed in accordance with the Act. The arbitration will be held at [●], India and the arbitration proceedings will be held in English. The award of the arbitral tribunal shall be final and binding on the parties. Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. Subject to the foregoing, for all purposes of these Terms, the parties consent to exclusive jurisdiction of the courts at [●], India.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class or representative action. Further, unless both you and Jiyo expressly agree otherwise, the arbitrator may not consolidate more than one person’s claims. If this prohibition of class, representative, or consolidated arbitration is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

YOU THEREFORE UNDERSTAND AND AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND JIYO ARE EACH WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION FOR ANY CLAIMS COVERED BY THIS AGREEMENT.
